Terms of Service
Every [SQUARE BRACKET] is a placeholder or a lawyer question. Text marked [SUGGESTED] is drafting the owner has not decided. Labels: Decided by user 2026-11-07 — pending lawyer review and DEFAULT — confirm with user / lawyer. Questions for the lawyer are in README.md.
These terms are the agreement between you and HANALIGHT LIMITED for the use of Questproof. Please read them before you use Questproof. If anything is unclear, email us at [CONTACT EMAIL].
1. Who we are
Questproof is an app run by HANALIGHT LIMITED, a company registered in New Zealand.
- NZBN: [NZBN]
- Address: [POSTAL ADDRESS]
- Email: [CONTACT EMAIL]
Words we use
- "We" and "us" means HANALIGHT LIMITED.
- "You" means the person who signs up for a Questproof account, and the business they sign up for.
- "Your client" means a person or business you send a Questproof link to.
2. What Questproof is, and what it is not
2.1 What Questproof does
Questproof helps a freelancer:
- write down the scope of a project from a template;
- send a link so the client can accept that scope;
- log requests the client makes;
- turn out-of-scope requests into change orders the client can approve or decline by link;
- keep a record of each acceptance and decision, and download it as a PDF.
Your client does not need an account. They open the link, read the scope or change order, type their name and confirm.
2.2 Records of agreement, not signatures
Approvals are records of agreement, not legally binding electronic signatures.
Each record shows what your client saw (a stored copy of the page and its SHA-256 fingerprint), the name they typed, and the time our server recorded. Whether a record is accepted as evidence in a dispute is for a court or the other party to decide. We do not promise any outcome. [LAWYER T1: is this wording enough under the Contract and Commercial Law Act 2017 Part 4 and overseas law? UNVERIFIED.]
2.3 What Questproof does not do
- It does not take payments from your clients, issue invoices or collect money for you.
- It does not give legal, tax or business advice.
- It does not write your contracts. The templates are starting points; you decide what your scope says.
3. Your account
- You sign in with an email address and a password. Keep them secure. Anyone with them can act for your account.
- [SUGGESTED] You must be at least 18, and you confirm you can agree to these terms for your business. [LAWYER T2: age.]
- Questproof is in English only.
4. You are responsible for what you send your clients
You are responsible for the content you send your clients, including scopes, change orders, prices, dates and any notes.
You must:
- make sure what you send is accurate and lawful;
- only enter a client's name and email if you are allowed to share them with us;
- tell your clients that you use Questproof and that it records their typed name, the time, their IP address and their browser details when they decide (see the Privacy Policy, section 4). [LAWYER T3: the client page has no privacy notice today, only the approval disclaimer. Should the client page show its own short privacy notice? Until then, this duty sits with the freelancer.]
Your client's information is held by us for you (see the Data Processing Agreement). [LAWYER Q7: controller / processor and NZ agent position. DEFAULT — confirm with user / lawyer.]
5. Plans and prices
5.1 Where prices are shown
Our current plans and prices are shown on our pricing page, [PRICING PAGE URL], and at checkout before you pay. Prices are in US dollars.
5.2 The plans
| Plan | What you get |
|---|---|
| Free | No charge. One active project at a time. Archive and export always included. Links and PDFs show "Made with Questproof". |
| Pro | Unlimited active projects. Your own logo on the PDF and on the pages your clients open. Paid monthly or yearly. |
| Founders | The same as Pro, paid monthly, at a Founders price for the first 50 subscribers, locked [LAWYER T4: what "locked" means if the business is sold or Questproof closes]. |
There is no free trial; the Free plan takes its place.
Paid plans are not available yet. Until they are, every account is on Free. The sections about paying apply when paid plans are available.
5.3 Price changes
[SUGGESTED] We may change our prices. We will tell you at least 30 days [SUGGESTED] before a new price applies to your plan, and you can cancel before it does. A Founders price does not change.
6. Paying (when paid plans are available)
6.1 Paddle is the Merchant of Record
When paid plans are available, our online reseller is Paddle.com, and Paddle is the Merchant of Record for all orders. Paddle handles checkout, payment, tax on the sale, invoices and receipts, and refunds, under Paddle's own buyer terms, which you accept at checkout. [LAWYER T5: check the exact wording Paddle requires against Paddle's current seller guidance; the requirement that the terms name Paddle as Merchant of Record comes from https://developer.paddle.com/partners/embed-billing/seller-go-live/prepare-for-go-live (PRD §11). The page was not re-read for this draft: UNVERIFIED.]
We never see or store your full card number.
6.2 Renewal
Paid plans renew automatically at the end of each month or year until you cancel. Paddle charges the payment method you gave at checkout.
6.3 If a payment fails
If a renewal payment fails, Paddle tries the payment again under its own payment-recovery settings. [UNVERIFIED: how many retries, and over how many days, is set in the Paddle dashboard (runbook, gate P8). It is not chosen yet. State it here once it is.] While Paddle is trying again, your paid plan keeps working, and Settings → Billing shows "Payment failed, update your card" so you can update your payment method in Paddle's portal. If the payment still fails and Paddle cancels the subscription, your account moves to Free. Nothing is deleted. [for lawyer review: whether keeping the plan during retries is acceptable.]
7. Cancelling and refunds
7.1 Cancelling
- You can cancel at any time in Settings → Billing → Manage billing, which opens Paddle's customer portal, or through the link in your Paddle receipt [UNVERIFIED: confirm the portal offers cancellation and that Paddle receipts include this link].
- When you cancel, you are not charged again.
- Your paid plan keeps working until the end of the period you have paid for. Then your account moves to Free.
- To go back to Pro after a cancellation, or to switch between monthly and yearly, subscribe again in Settings → Billing. We do not change plans for you inside the app.
- A Founders price ends with the subscription it belongs to. If you cancel a Founders subscription and subscribe again, the standard Pro price applies, and the Founders place is not given back. [for lawyer review: LAWYER T4 covers what "locked" means. UNVERIFIED until the owner confirms the exact promise.]
7.2 Refunds
Refunds are set out in our Refund Policy (/refunds). Refunds are made through Paddle. When we refund a payment in full, we also cancel the subscription so that you are not charged again.
7.3 Your rights under the law
Nothing in these terms takes away a right that the law says cannot be taken away (section 13).
8. Moving to Free never breaks a sent link
If you downgrade, cancel, or a payment fails:
- every link you have already sent keeps working, and your client still sees exactly what you sent;
- nothing is hidden or deleted: you can still see, archive and export every project;
- if you have more than one active project, you cannot start a new one until you archive enough projects to be within the Free limit.
9. Your data
9.1 It belongs to you
Your projects, scopes, requests and change orders belong to you. We use them only to provide Questproof (see the Privacy Policy).
9.2 Records cannot be changed or deleted
- A sent scope version, a sent change order and every client decision are kept as they were. This is on purpose, so the records can be trusted.
- To change a sent change order, you withdraw it and send a new one. To change an accepted scope, you make a new version.
- Projects cannot be deleted. You can archive and unarchive them.
- The only ways a record disappears are: deleting your account (section 10), and the removal of your client's IP address and browser details 6 years after their decision (Privacy Policy, section 6). [Q6: Decided by user 2026-11-07 — pending lawyer review.]
9.3 Downloading your data
You can always download a PDF of a project, and all your data (Settings → Download my data), on every plan.
10. Deleting your account
[D-A: DEFAULT — confirm with user / lawyer.]
- You can delete your account in Settings. We may ask you to sign in again first.
- 30 days to change your mind. Your account is deleted 30 days after you ask. Until then you can cancel the deletion in Settings. Your links keep working during those 30 days.
- What is deleted. After the 30 days we delete everything in your account: your profile, logo, projects, scopes, requests, change orders, links, and your clients' decisions and the details recorded with them. After that, your clients see "This link is no longer active. Please contact your freelancer."
- Download first. Your clients' decisions are your evidence. Download your PDFs and data before you delete. We cannot restore them afterwards.
- What is kept. A short deletion log with your internal account id and dates, but no name, email or project content, for [RETENTION PERIOD]. Also the Paddle event ids and subscription ids we processed for your plan, and any subscription id we still had to cancel by hand, with no name, email or payment details. Paddle can link these ids to you. [for lawyer review] Paddle keeps its own billing records under its own policies [when paid plans are available]. Copies inside backups end when those backups expire [IF BACKUPS ARE IN PLACE; CONFIRM PERIOD].
- Your plan. If you have a paid plan when you ask to delete your account, we set it to cancel at the end of the period you have paid for, so it does not renew. If you cancel the deletion ("Keep my account"), we undo that. If we cannot undo it, your plan still ends at the end of the period, and you can subscribe again. When your account is deleted after the 30 days, we cancel any paid plan at once. We do not refund the unused part of a period beyond the Refund Policy. [for lawyer review]
11. Fair use [SUGGESTED]
Please do not:
- use Questproof for anything unlawful, misleading or harassing;
- send links to people you have no business relationship with, or use links to send spam;
- try to get into another user's data;
- try to test or break our security without our written permission;
- copy or resell Questproof;
- overload the service on purpose, or sign up in bulk with automated tools.
We may suspend or close an account that breaks these rules. Where we can, we will warn you first. You will still be able to download your data.
12. Changes [SUGGESTED]
- We improve Questproof often, and features may change. We will not take away your ability to download your data.
- If we change these terms in a way that matters to you, we will tell you by email or in the app at least 30 days [SUGGESTED] before the change. You will be asked to accept the new version. If you do not agree, you can cancel and delete your account before it starts.
13. Consumer law
- Questproof is made for freelancers and businesses. By signing up you confirm you are using it for your business.
- [LAWYER T6: we sell worldwide through Paddle. Should these terms contract out of the NZ Consumer Guarantees Act 1993 and Fair Trading Act 1986 (as raised in the SousMate notes, Q1), and what must they say about overseas consumer law (for example EU/UK)? UNVERIFIED.]
- Nothing in these terms limits a right that the law says cannot be limited.
14. Our responsibility to you [SUGGESTED, LAWYER Q2]
- We take reasonable care to keep Questproof running and your data safe. No online service is perfect, and Questproof may sometimes be unavailable.
- We are not responsible for:
- whether your client pays you, or whether a record is accepted in a dispute;
- losses caused by things outside our control, such as internet outages or a fault at one of our providers;
- indirect losses, such as lost profit or lost work.
- [LIABILITY CAP]
15. If we stop offering Questproof [SUGGESTED]
If we stop running Questproof, we will give you at least 90 days [SUGGESTED] notice by email, refund any unused part of a yearly plan through Paddle, and make sure you can download all your data before the service ends.
16. Privacy
Our Privacy Policy explains how we handle personal information. Our Data Processing Agreement sets out how we handle your clients' information for you.
17. Governing law
[GOVERNING LAW] [LAWYER T7: New Zealand law and courts, as in the SousMate draft, or another choice for worldwide customers.]
